Terms and Conditions

1. Introduction

These Terms and Conditions govern the access to and use of the AI-powered resume analysis and candidate evaluation platform operated by Intellisqr ("Company", "Platform", "we", "us", "our"). By accessing or using the Platform, the user ("Client", "you") agrees to be bound by these Terms.

The Platform is designed to assist organisations in their recruitment processes by providing AI-assisted analytical insights based on candidate data and job descriptions.

2. Nature of Services

The Platform provides tools that enable Clients to analyse resumes, evaluate candidate fitment, and generate structured insights for recruitment purposes. The Platform functions as a technical and analytical support system and does not replace human judgment or decision-making in hiring.

All outputs generated by the Platform are intended to support, not determine, recruitment decisions.

3. Role of the Parties

For the purposes of data protection and processing, the Client acts as the Data Fiduciary and retains full control over the purpose and means of processing personal data. The Platform operates strictly as a Data Processor and processes personal data solely on behalf of and in accordance with the instructions of the Client.

The Platform does not independently determine how personal data is used and does not claim ownership over any personal data processed through its services.

4. Client Responsibilities

The Client represents and warrants that it has obtained all necessary lawful permissions and valid consent from candidates for the collection and processing of their personal data. The Client is solely responsible for ensuring that the data uploaded to the Platform complies with applicable laws, including the Digital Personal Data Protection Act, 2023.

The Client further agrees that it will not upload any data that is unlawful, misleading, or processed without proper authorization. All recruitment decisions made using the Platform remain the sole responsibility of the Client.

5. Data Processing and Usage

The Platform processes personal data strictly for the purpose of enabling recruitment-related activities, including resume evaluation and candidate-job matching. The Platform does not use personal data for any independent purposes and does not engage in activities such as model training, profiling, or cross-client data usage.

All processing activities are performed under the direction and authority of the Client.

6. Data Storage and Cross-Border Processing

Personal data processed through the Platform is stored and processed using secure cloud infrastructure, including systems designed for structured data storage, vector processing, and AI-based analysis. Such processing may occur in jurisdictions outside India, including the United States.

By using the Platform, the Client acknowledges and agrees to the transfer and processing of personal data across international boundaries, in accordance with applicable laws. The Platform ensures that appropriate safeguards are in place to protect personal data during such processing.

7. Data Retention and Deletion

Personal data is retained only for as long as necessary to fulfill the recruitment purposes defined by the Client. The retention period may be configured by the Client and may extend up to a maximum period as determined by business needs and legal considerations.

Upon completion of the purpose, expiration of the retention period, or upon request by the Client, personal data is permanently deleted from all systems. The Platform does not retain personal data beyond what is necessary for the intended purpose.

8. Security Measures

The Platform implements appropriate technical and organisational measures to safeguard personal data. These measures include secure data transmission protocols, encryption, controlled access mechanisms, and continuous monitoring of infrastructure.

Access to personal data is restricted to authorized systems and processes required for delivering the service.

9. Data Breach

In the event of a data breach affecting personal data processed through the Platform, the Company will notify the Client without undue delay. The Client shall be responsible for any further notifications required under applicable law, including informing affected individuals or authorities.

10. AI-Assisted Decision Support

The Platform provides AI-assisted analytical insights designed to support recruitment workflows. These insights are generated based on data provided by the Client and are intended to enhance decision-making efficiency.

Final hiring decisions, interpretations, and actions remain solely under the control and responsibility of the Client.

11. Limitation of Liability

The Platform shall not be held liable for any decisions, actions, or outcomes arising from the use of the Platform, including those based on AI-generated insights. The Client acknowledges that the Platform functions as a support tool and that all decisions made using the Platform are at the Client's discretion.

The Company shall not be responsible for any data uploaded by the Client that is inaccurate, unauthorized, or in violation of applicable laws.

12. Termination

The Company reserves the right to suspend or terminate access to the Platform in the event of a violation of these Terms, misuse of the Platform, or any activity that poses a risk to the security or integrity of the system.

13. Arbitration

Any dispute arising out of or in connection with these Terms shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator appointed mutually by the Parties. The seat and venue of arbitration shall be New Delhi, India, and the proceedings shall be conducted in the English language.

The arbitral award shall be final and binding on the Parties. Subject to the foregoing, courts in New Delhi, India shall have exclusive jurisdiction.
